Skales End User Licence Agreement

Licensor: Mario Simic, Vienna, Austria ("Skales", "we")
Software: Skales Desktop, Skales Mobile, Skales Code, Skales Relay client components and every update we provide (the "Software")

1. What this is
The Software is proprietary. It is licensed, not sold. It is not open source, it is not source-available, and it will not become either. No source code is provided or promised under this agreement.

2. What you may do
2.1 Personal and educational use. If you are a private individual, a student, a teacher, or a non-commercial educational institution, you may install and use the Software free of charge on devices you control.
2.2 Evaluation. Any organisation may install the Software to evaluate it for thirty (30) days.
2.3 Commercial use. Any use by or for a company, a business, a public body, or in exchange for money or other consideration requires a written commercial licence from Skales. Contact: request@skales.app.

3. What you may not do
3.1 You may not offer the Software, or any service built on it, to third parties as a hosted, managed, or software-as-a-service offering.
3.2 You may not rebrand, white-label, resell, sublicense, rent, lease, or redistribute the Software, in whole or in part.
3.3 You may not reverse engineer, decompile, disassemble, extract, or otherwise attempt to derive the source code, models, prompts, or internal structure of the Software, except to the extent a mandatory law expressly permits it despite this clause.
3.4 You may not remove, hide, or alter any licence, trademark, attribution, or origin marking in the Software or its packages.
3.5 You may not use the Software to build a competing product, or use any part of it, including its texts, tool definitions, prompts, and assets, in another product.
3.6 You must install and run the Software as published. You may not modify the Software, remove or bypass its integrity, attestation, licence, or authentication mechanisms, or run a modified copy.
3.7 You may not operate the Software as a component, backend, agent engine, or library of another program: no wrapper around its local server, no launching of its command-line interface from another tool, no third-party client against its relay or online services, and no bulk collection of its output, including for training models. Using the Software's own tools on your own device remains free.
3.8 You may not bundle the Software, resell or broker access to it, or submit it to any app store or distribution channel. On mobile devices you may not re-sign, side-load, or redistribute the application package; managed distribution within an organisation requires a commercial licence.
3.9 You may not present yourself as a partner, reseller, certified provider, co-developer, or spokesperson of Skales or Mario Simic, claim that Skales is part of, based on, or endorses another product, or use the name, likeness, or statements of Mario Simic in advertising. You may state factually that your setup runs or installs Skales.

4. Your data and your keys
The Software runs on your own devices. Provider keys, conversations, files, and memory stay on your devices unless you connect a service yourself. Skales IQ, Skales Relay, and other optional online services have their own terms, shown before you enable them.

5. Trademarks
"Skales", the Skales logo, and the names of Skales products are trademarks of Mario Simic. This agreement grants no trademark rights. See TRADEMARK.md.

6. Third-party components
The Software contains open-source components under their own licences, listed in THIRD-PARTY-NOTICES.md. Those licences apply to those components only and do not extend to the Software as a whole.

7. Updates, term, and termination
We may provide updates under this agreement. The licence lasts until terminated. It terminates automatically if you breach it; on termination you must stop using the Software and delete all copies. Skales may name a terminated licence and the breach publicly. Sections 3, 5, 8, and 9 survive termination.

8. Warranty and liability
The Software is provided "as is". To the maximum extent permitted by law, Skales disclaims all warranties and is not liable for any indirect, incidental, or consequential damages, loss of data, or loss of profit arising from the use of the Software. Mandatory consumer rights remain unaffected.

9. Governing law
This agreement is governed by the laws of Austria. Place of jurisdiction is Vienna, without prejudice to mandatory consumer protection rules.

10. Entire agreement
This agreement is the complete licence for the Software. Earlier licence texts shipped with previous versions no longer apply to this or later versions.
